Article 1 - Definitions
- Salon Shop: Vibo Trend, established in Spijkenisse, Chamber of Commerce number 63352958.
- Customer: the person with whom Salon Shop has entered into an agreement.
- Parties: Salon Shop and the Customer jointly.
- Consumer: a Customer who is also a private individual acting for personal purposes.
Article 2 - Applicability
- These terms and conditions apply to all quotations, offers, services, orders, agreements, and deliveries of products or services provided by or on behalf of Salon Shop.
- Salon Shop and the Customer may only deviate from these terms if agreed in writing.
- The applicability of the Customer’s or third-party general terms and conditions is explicitly excluded.
Article 3 - Prices
- Prices are in euros, including VAT and excluding any additional charges such as administration or shipping costs, unless agreed otherwise in writing.
- Salon Shop may change the prices of its services and products at any time, including those shown on the website or in other communications.
- Unforeseen cost increases of products or components thereof may result in a price increase.
- The Consumer has the right to cancel the agreement in the event of a price increase as stated in paragraph 3, unless the increase results from a legal provision.
Article 4 - Samples and Models
- If the Customer receives a sample or model, this is merely an indication of the nature of the product, unless explicitly agreed otherwise in writing.
Article 5 - Payments and Terms
- Salon Shop may require a deposit of up to 50% of the agreed amount upon entering into the agreement.
- The Customer must pay the remaining balance after delivery.
- Payment terms set by Salon Shop are strict deadlines. Failure to pay on time results in default without notice being required.
- Salon Shop may condition delivery on immediate payment or request security for the full amount.
Article 6 - Right of Reclamation
- If the Customer is in default, Salon Shop may reclaim unpaid delivered products.
- Reclamation is done through written or electronic notice to the Customer.
- Upon notice, the Customer must immediately return the relevant products unless agreed otherwise.
- The Customer bears the return costs.
Article 7 - Right of Withdrawal
- The Consumer may cancel an online purchase within 14 days without giving a reason, unless:
- the product has been used
- it concerns perishable goods like food or flowers
- the product is custom-made or personalized
- it concerns non-returnable items for hygiene reasons (e.g. underwear, swimwear)
- the seal is broken on media such as DVDs or CDs
- it concerns lodging, travel, catering, leisure services, or similar
- it is a single newspaper or magazine
- the Consumer waived their withdrawal right
- The 14-day period starts:
- the day after receiving the final product or part of the order
- upon confirmation of accessing digital content online
- To withdraw, the Consumer must email salonshopnl@gmail.com, optionally using the withdrawal form available on the website.
- The product must be returned within 14 days after the withdrawal notice.
- If not returned on time, the withdrawal right expires.
Article 8 - Reimbursement of Delivery Costs
- Salon Shop will refund any delivery costs if the full order is returned on time and in original condition.
- Costs are only reimbursed if the entire order is returned in original packaging and condition.
Article 9 - Return Shipping Costs
- If the Consumer invokes the right of withdrawal but does not return the full order on time, they bear the return costs.
Article 10 - Right of Suspension
- Unless the Customer is a Consumer, they waive the right to suspend obligations under this agreement.
Article 11 - Right of Retention
- Salon Shop may retain Customer property until outstanding invoices are paid, unless sufficient security is provided.
- This applies to past due payments as well.
- Salon Shop is not liable for damage resulting from exercising the right of retention.
Article 12 - Set-off
- Unless the Customer is a Consumer, they waive the right to offset debts against claims on Salon Shop.
Article 13 - Retention of Title
- Salon Shop retains ownership of products until full payment is received, including for breaches of agreement.
- Until that time, Salon Shop may repossess the goods.
- Before full ownership is transferred, the Customer may not sell, pledge, or otherwise encumber the goods.
- If repossessed, Salon Shop may claim damages, lost profits, and interest.
Article 14 - Delivery
- Delivery is subject to availability.
- Default delivery location is Salon Shop unless agreed otherwise.
- Online orders are delivered to the address provided by the Customer.
- Failure to pay allows Salon Shop to suspend its obligations.
- Delayed payment constitutes creditor default and cannot be used to claim late delivery.
Article 15 - Delivery Time
- Delivery times are indicative unless explicitly agreed otherwise in writing.
- The term starts once the order process is complete and confirmed.
- No compensation is due for late delivery unless agreed otherwise or after a 14-day written notice period.
Article 16 - Actual Delivery
- The Customer must ensure actual delivery is possible on time.
Article 17 - Shipping Costs
- The Customer bears transport costs unless otherwise agreed in writing.
Article 18 - Packaging and Shipment
- If packaging is opened or damaged, the Customer must have this noted by the carrier before accepting the delivery. Failure to do so releases Salon Shop from liability.
- If the Customer arranges transport, visible damage must be reported prior to shipping.
Article 19 - Storage
- Delays in product acceptance shift the risk of quality loss to the Customer.
- Early or late acceptance costs are borne by the Customer.
Article 20 - Warranty
- Warranty applies only to manufacturing, construction, or material defects.
- Warranty excludes:
- normal wear and tear
- damage due to accidents
- damage due to alterations
- negligence or improper use
- uncertain defect origins
- Risk of loss or theft transfers upon delivery or transfer of possession.
Article 21 - Indemnification
- The Customer indemnifies Salon Shop against third-party claims relating to the delivered products or services.
Article 22 - Complaints
- The Customer must inspect goods or services for defects promptly.
- Any defects must be reported within one month (or within 2 months for Consumers).
- The Customer must describe the defect in detail and prove the complaint relates to the agreement.
Article 23 - Notice of Default
- Must be submitted in writing.
- The Customer is responsible for ensuring Salon Shop receives it on time.
Article 24 - Customer Liability
- If multiple Customers enter into an agreement, all are jointly and severally liable.
Article 25 - Salon Shop Liability
- Salon Shop is only liable for intent or gross negligence.
- Liability is limited to direct damages related to the agreement.
- Salon Shop is not liable for indirect damages such as lost profits.
- Liability is limited to the insured amount or the relevant invoice value.
- Images, descriptions, and illustrations are indicative only and not grounds for claims.
Article 26 - Limitation Period
- All claims expire 12 months after the triggering event, unless otherwise provided by law.
Article 27 - Termination
- The Customer may terminate the agreement if Salon Shop materially breaches it, unless the breach is minor.
- Termination requires prior notice of default if performance is still possible.
- Salon Shop may terminate if the Customer breaches the agreement or gives grounds to suspect non-compliance.
Article 28 - Force Majeure
- Force majeure excuses Salon Shop from liability under article 6:75 of the Dutch Civil Code.
- Examples include:
- civil unrest or natural disasters
- failures of suppliers or transporters
- utility or IT failures
- computer viruses
- strikes
- governmental actions
- transport issues
- severe weather
- work stoppages
- Obligations are suspended during force majeure.
- If it lasts 30+ days, either party may terminate the agreement in whole or in part.
- No compensation is due in force majeure, even if Salon Shop benefits.
Article 29 - Contract Amendments
- The agreement may be modified by mutual consent if necessary for execution.
Article 30 - Changes to Terms
- Salon Shop may amend these terms.
- Minor changes may be made at any time.
- Major changes will be discussed with the Customer.
- A Consumer may cancel the agreement in case of significant changes.
Article 31 - Transfer of Rights
- The Customer may not transfer rights without written permission from Salon Shop.
- This clause has proprietary effect under article 3:83 paragraph 2 of the Dutch Civil Code.
Article 32 - Invalidity or Nullification
- If any clause is invalid or void, the rest remain unaffected.
- The invalid clause will be replaced by one closest in meaning and intent.
Article 33 - Governing Law and Jurisdiction
- These terms are governed by Dutch law.
- The court in the district of Salon Shop’s establishment has exclusive jurisdiction, unless the law states otherwise.
